Terms of Service

1. Acceptance of Terms

By accessing or using the Oh Sit! platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including business owners ("Operators") who manage pet waste removal services through the platform.

2. Description of Service

Oh Sit! is a customer relationship management (CRM) platform designed for pet waste removal businesses. The Service provides tools for managing customers, scheduling recurring service visits, optimizing routes, uploading proof-of-work photos, processing payments, sending notifications, and requesting customer reviews.

The Service is provided "as is" and is intended as a business management tool. Oh Sit! does not provide pet waste removal services directly and is not a party to any agreement between Operators and their customers.

3. Account Registration

To use the Service, you must create an account using our authentication provider (currently Clerk). You may sign up using Google, Facebook, Apple, or email. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

4. Payment Processing

Oh Sit! uses Stripe Connect to facilitate payment processing between Operators and their customers. By using our payment features, you agree to the following:

• Platform Fee: Oh Sit! charges a platform fee of 2.5% on each transaction processed through the Service. This fee is deducted automatically from payment amounts before funds are transferred to your Stripe account.
• Stripe Fees: Standard Stripe processing fees apply in addition to the Oh Sit! platform fee. These fees are set by Stripe and are subject to change.
• Stripe Terms: By using payment features, you also agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.
• Payouts: Funds are transferred to your connected Stripe account according to Stripe's standard payout schedule. Oh Sit! does not hold or manage funds directly.

5. Subscription Plans

The Service offers a free tier and a paid "Pro" tier. The free tier includes core CRM features. The Pro tier includes additional features such as automated SMS and email notifications, review request management, and priority support.

Pro subscriptions are billed monthly. You may cancel your subscription at any time, and your Pro features will remain active until the end of your current billing period. We reserve the right to change pricing with 30 days' notice.

6. User Responsibilities

As a user of the Service, you agree to:

• Use the Service only for lawful purposes related to operating a pet waste removal business
• Not upload harmful, offensive, or illegal content
• Obtain proper consent from your customers before storing their personal information in the Service
• Comply with all applicable local, state, and federal laws, including data protection regulations
• Not attempt to reverse-engineer, decompile, or exploit the Service
• Not use the Service to send spam or unsolicited communications

7. Customer Data

You retain ownership of all customer data you enter into the Service. Oh Sit! acts as a data processor on your behalf. You are the data controller and are responsible for ensuring you have the legal basis to collect and process your customers' personal information.

We will not sell, share, or use your customer data for any purpose other than providing the Service to you. See our Privacy Policy for more details.

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Oh Sit! and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Content you upload (photos, notes, etc.) remains your property. By uploading content, you grant Oh Sit! a limited license to store and display that content as necessary to provide the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Oh Sit! shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Oh Sit!'s total liability for any claim arising from the Service shall not exceed the amount you paid to Oh Sit! in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it may be permanently deleted.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Utah.
